Motion:
That the Rules of Association as approved and adopted on October 15, 2015 be amended to include the addition of section #39b Sub-committees – PRACE college school as detailed in full below.
| 39B.1 | The Board will, in writing, delegate to the PRACE College school sub-committees the exercise of specified functions of the Board, other than –
(a) this power of delegation; and (b) any function imposed on the Board by the Act, by any other applicable law, or by resolution of the Association in General Meeting. (a) Setting and monitoring the strategic direction of the School; (b) Approval and oversight of the School strategic plans; (c) Approval of the annual School budget including oversight and responsibility for the financial administration of the School including School funding from State and Federal Governments acknowledging that any funding received for the School will only be used by the School for the purposes of the School. |
| 39B.2 | The PRACE College school sub-committee may co-opt any person as a member of this sub-committee, whether or not the person is a Member of the Association. That person shall have no vote either on the Sub-Committee or at any General Meeting unless that member is able to under Rule 6.1 |
| 39B.3 | No more than 2 members of the PRACE Board of Management may be members of the The PRACE College school sub-committee at any one time. |
| 39B.4 | A delegation under this section may be made subject to any conditions or limitations that the Board imposes other than those in 39B.1 (a), (b) or (c). |
| 39B.5 | Despite any delegation under this section, the Board may continue to exercise any function delegated other than those in 39B.1 (a), (b) or (c). |
| 39B.6 | Any act done by a sub-committee acting in the exercise of a delegation under this section has the same effect as it would have if it had been done by the Board. |
| 39B.7 | The Board may, in writing, revoke wholly or in part any delegation under this section except functions 39B.1 (a), (b) or (c). |
| 38B.8 | The sub-committee will meet a minimum of four times per year and adjourn as it considers appropriate. |
| 39B.9 | This sub-committee will elect a Chair, Secretary and Treasurer of its sub-committee. These positions may not be held by executive members of the PRACE Board of Management. |
| 39B.10 | A question arising at a sub-committee meeting is to be decided by a majority vote of the members of the sub-committee, except that in the event of an equality of votes the Chair of the meeting shall have both a deliberative vote and a casting vote. |
